1-NAME
The name of the organisation shall be “Sudanese Supplementary School”, herein referred to as the School.
2-AIMS
The School is a company limited by guarantee, registered as a charitable association , and established to :
a-Develop the cultural identity, self-esteem and confidence of children from the Sudanese community and others.
b-Promoting the achievement of children in their mainstream schools, by offering specific, targeted lessons in Arabic, English, maths and general studies as a supplement to their normal school work.
c-Encourage the involvement of parents in the education of their children.
d-Foster means of co-operating with state maintained schools and other education providers.
e-provide additional cultural, social, health and artistic opportunities to children and families within the Sudanese community and others.
Objectives :
a- To teach children their mother tongue [the Arabic language] up to GCSE level.
b- To provide classes in English Language and Literature , Mathematics, Science and the relevant cultural studies.
c- To appoint and manage teachers and other voluntary staff in order to raise the attainment of children who are generally at risk of underachievement in their day schools.
d-To provide in-service training to teachers, management and to parents to help build a responsive and supportive environment to fulfil the needs of bilingual children as required by the National Curriculum.
e- To co-ordinate other relevant educational, health and social services and initiatives to enhance the awareness of families and help to meet their needs.
f- To raise money in conjunction with parents , supporters and funders to deliver the Schools services according to these set objectives.
g-To safeguard the assets and properties of the School and keep proper accounts.
4- Powers:
In furtherance of the above objectives but not otherwise, the School shall have the following powers :
a-to raise funds and apply for ,invite, obtain, collect and receive contributions from any other persons whatever by way of subscription, donation, grant , legacy and otherwise.
b-to employ on such terms and conditions of employment as the School shall determine any paid or voluntary workers to assist in the attainment of the above objectives.
c- to do all such lawful things as shall further the attainment of these set objectives.
5- Membership :
One- Membership shall be open to all parents and guardians on the register of the School and to other persons who are interested in furthering the work of the School.
Two- The Parents Management Committee herein constituted shall have the right to :
1-approve or reject applications for membership
2- for good and sufficient reason to terminate the membership of any member, who shall have a right to be heard by the Parents Management Committee before a final decision is made.
3- charge and collect a membership fee or contribution.

6- Parents Management Committee (PMC):
a-At the annual general meeting, hereinafter mentioned, the School shall elect a management committee made up of seven to eleven members for a term of one year.
b-The P.M.C. shall hold office for one year. However its members are eligible for re- election , but no such member shall hold office for more than three consecutive years.
c- The PMC may co-opt , to serve on the committee in an advisory manner, other interested individuals or representatives of voluntary agencies as the PMC may determine.
d-The PMC shall have the powers to set up sub-committees, working parties, ad hoc committees to address specific tasks; and all acts and proceedings of such bodies shall be determined by the PMC
e-The PMC shall have powers to appoint individuals to fill up vacancies as they may occur. Such appointees shall hold office until the next AGM is held.
f-The PMC shall have the power to dismiss an individual from the Committee if found to be in breach of the aims and objectives of SSS. And/or for failure to attend meetings and/or official obligations as may be set out in by-laws.
g-The PMC shall ensure that all provisions of equal opportunities ,child protection, health and safety and good behaviour are strictly observed
h- Four members of the PMC shall constitute a quorum.
i- Minute books and a record of all proceedings and resolutions shall be kept by the committee.
7-Annual General Meeting :
One- Once each year an annual general meeting of the School shall be held at such time and place as the PMC shall determine. At the AGM, the business shall include:
1- the receipt of the annual report and the accounts for the preceding year from the PMC.
2- The election of members to serve on the PMC.
3- the transactions of such other matters as necessary.
4- The PMC may call for a special general meeting if the need arises.
5- Notifications of a general meeting shall be given in writing to all members of the School not less than 21 days prior to the general meeting.
6- The quorum for the general meeting shall be one quarter of the total membership of the School.
7- Save otherwise herein provided, all questions rising at the general meeting shall be decided by a simple majority of those present and voting thereat.
8- Finance :
One- the treasurer shall keep proper accounts of the Schools finances for the last financial year for submission to the members at the Annual General Meeting.
Two- The financial year shall mean from 1 September to 31 August inclusive.
Three- The accounts shall be audited at least once a year by the chartered auditors appointed by the AGM
Four- The funds of the School shall be applied in furtherance of its objectives.
Five- A bank account shall be opened in the name of the School.
Six- All cheques must be signed by not less than TWO of the four authorised signatories.
